I have had 24 years
of corporate legal experience (Chapman Tripp, Hesketh Henry and
cogswell + jaduram Lawyers).
I am a partner at
cogswell + jaduram Lawyers, a firm I established in May 2006,
following 5 years as a partner at Hesketh Henry.
My corporate and
commercial law experience includes business start ups and structuring,
drafting/reviewing and advising on business contracts and arrangements,
business purchases and sales, corporate governance, legal risk
management and regulatory compliance (e.g. fair trading, privacy,
consumer laws, commerce).
I am commercially
minded and driven to understand all aspects of a business and
its needs. I tailor my advice to achieve practical business results.
I have extensive
experience in banking and financial services law, particularly
in the regulation and documentation and compliance areas. I have
experience drafting finance documents, advising and preparing
compliance programmes and procedures for all types of financial
products including consumer finance, asset finance, wholesale
finance, mortgage finance, development finance and insurance programmes
relating to specific financial products.
I have advised on
Commerce Commission investigations under the Credit Contracts
and Consumer Finance Act 2003. I have also advised on disciplinary
processes and procedures for industry groups.
My insolvency law experience includes corporate recovery and enforcement
of security. I act for liquidators, receivers, corporations and
individuals.
I have written submissions
on proposed new laws and changes to existing laws relevant to
my specialist areas. In my role as a member of the Legal and Regulatory
subcommittee of the New Zealand Shareholders Association Inc ("NZSA"),
I have been involved in the consideration and preparation of substantive
submissions and discussions on the Financial Markets Authority
legislation (now the Financial Markets Authority Act 2011) and
the new Securities Law reforms.
I am well regarded
in my areas of specialty and frequently asked to present seminars.
I have been a regular speaker at various banking and finance and
insolvency conferences and seminars, including for the New Zealand
Law Society, Auckland District Law Society, Conferenz, accountants
and insolvency practitioners, finance providers and the Australasian
Banking and Financial Services Law Association.
I am a member of INSOL New Zealand (an insolvency special interest
group) and the Australasian Banking and Financial Services Law
Association Inc (of which I am also a committee member). I am
also on the Auckland District Law Society's documents and precedents
committee.
I am a director
of the national board of the NZSA and a trustee on the board of
Mount Albert Grammar School.
